These Terms of Service govern your use of the RedLens AI platform and services provided by South 301 LLC ("RedLens AI," "we," "us"). By accessing or using our services, you agree to these terms.
RedLens AI provides an AI red team security assessment platform, including automated adversarial attack testing, vulnerability findings, compliance mapping, threat intelligence, and related security reports (collectively, the "Services"). Services are provided on a subscription basis as described in your order or agreement.
RedLens AI offers subscriptions at the rates in effect at the time of your order: Developer ($799/month), Professional ($8,000/month), and Enterprise (starting at $150,000/year, with custom pricing for complex deployments). All prices are in USD.
Subscriptions are billed monthly or annually in advance. Annual subscriptions receive a 10% discount. Payment is due upon invoice. Late payments accrue interest at 1.5% per month.
You may cancel your subscription at any time with 30 days written notice. No refunds are provided for unused portions of prepaid periods. Enterprise agreements may have different cancellation terms as specified in your contract.
You may only use RedLens AI to assess AI systems that you own or have explicit written authorization to test. You may not use RedLens AI to:
Violation of this section may result in immediate suspension without refund.
You retain all rights to your data. RedLens AI does not claim ownership of your assessment results, vulnerability findings, or any data you submit. You grant RedLens AI a limited license to process your data solely to deliver the Services.
RedLens AI retains all rights to its platform, attack methodologies, Master Attack Schema, software, and documentation. Nothing in these terms transfers any intellectual property rights to you.
Both parties agree to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent. This includes assessment results, vulnerability findings, pricing, and business information. This obligation survives termination for three years.
RedLens AI warrants that the Services will perform materially as described in our documentation. We do not warrant that the Services will identify every vulnerability in your AI systems, or that your systems will be secure after remediation. Security is a continuous process, and new vulnerabilities emerge constantly.
THE SERVICES ARE PROVIDED "AS IS" WITH RESPECT TO ALL OTHER WARRANTIES NOT EXPRESSLY STATED HEREIN. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
REDLENS AI'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL REDLENS AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold RedLens AI harmless from claims arising from your use of the Services in violation of these terms, your breach of applicable laws or regulations, or your testing of systems you do not have authorization to test.
These Terms are governed by the laws of the State of Connecticut, USA, without regard to conflict of law provisions. Disputes shall be resolved by binding arbitration in Waterbury, Connecticut, except that either party may seek injunctive relief in court for IP violations.
We may update these Terms with 30 days notice via email. Continued use of the Services after the effective date constitutes acceptance. If you object to changes, you may terminate your subscription before the effective date.
